Being a Director; A Director's Induction Seminar 2018

It is one thing to be a shareholder or a senior executive of a company, but being a director is really something else. The difference in being a director is found in its formal duties, legal obligations, coupled with the risks and potential liabilities. Directors also need to bear strategic thinking abilities and other leadership and management skill sets in order to fulfil their roles well. 

This 2 day program aims to ensure that Directors and new Board members are correctly inducted into the board and world of directorship and that they are provided with suitable initial and on-going training to understand the strategic direction and business of their organizations and their roles and duties as board members. The goal is to provide the director with the information needed to become as effective as possible in their role within the shortest practicable time.

This 2-day program will cover the following key areas;

  • The Role of a Director: Regulations and guidelines for new directors and other guidelines for board effectiveness and an appreciation of the roles, duties and responsibilities of a director;
  • The Company’s legal and regulatory environment: legal position of stakeholders, conflict of interest, disclosure of information and reporting requirements.
  • Corporate Governance regimes in Kenya: The CMA Code, Mwongozo and Company Act 2015 (Overview)
  • Board structure operations and practice; Board & Committees, effective board meetings, board room behaviours, board procedures, evaluations, training & development, special procedures and disclosure of sensitive information and understanding current board issues.
  • Increased personal contribution to the board
  • The Link Between the Board and Management
  • The concepts of Comply and best practice in corporate governance.
  • The board composition; board renewal, succession plans and policy on directors’ re-election by shareholders and the board support framework: chairman, senior independent director, company secretary.
  • An understanding of disclosure and transparency rules and other rules requirements, as apply to different companies and policies relevant to the director as an individual.
  • Corporate Governance Audits and Board Evaluations (an overview).

What is the Seminar About?

  • Detailed description of board procedures and the concept of the unitary board.
  • An understanding of disclosure and transparency rules and other rules requirements, as apply to different companies and policies relevant to the director as an individual.
  • An introduction to strategic thinking for Directors.
  • An Introduction to Finance and Risk Governance.

Hotel accommodation
